  2. NV. An open company, which consists of 1+ shareholder, board members and a specially created supervisory board. The registered capital of such a company is 45 thousand euros. The organization is allowed to issue various types of shares – bearer and registered.

  3. VOF. These are companies that are not granted legal entity status. The partners are liable in proportion to the amount of funds that they have invested.

  4. CV. These are partnerships in which members have limited liability.

It is also possible to register and maintain a Dutch company established as a branch of a foreign organization, a fund company and an association. Citizens of any state can act as shareholders and founders.

Taxation

The income tax rate depends on the size of the profit itself. If the amount exceeds 200 thousand euros, the rate will be 25%, if the amount is less than the specified figure, then 20%. As for VAT, there are 3 following options:

  • standard, equal to 19%

  • preferential at 6%

  • zero

For dividends, 15% must be paid to the state budget. This tax can be deducted from personal or corporate obligations, however, this is only allowed for residents. The Netherlands has signed a double taxation treaty with many countries, which further reduces the rate.

Royalties and capital increases are tax-free, no stamp duty.
